Advisory Council
SECTION VI - ADVISORY COUNCIL: There shall be an Advisory Council consisting of representatives from each county of the Corporation; in the absence of a representative from the seated county, a Rep/Director may fill their seat, vote, establish a quorum or operate as an officer. The Advisory Council shall be governed by its bylaws. This Council shall provide technical input to the corporation Board of directors and its administrative staff.
Definition: Voluntary groups of citizens (Majority of members shall be 60+), who provide information to the AAA which will help serve the older adults in the planning and service area.
Responsibilities:
Area Agency Advisory Council assumes a variety of responsibilities, but must advise the AAA in the following areas, according to the Older Americans Act (OAA) regulations:
- Help develop/implement the area plan as a prerequisite for the plan's submission;
- Represent the interests of older persons and advise the AAA
- Advise AA on OAA community policies (organize/present to legislatures), programs that affect older persons
Advisory Council members shall
· Act in an advisory capacity only
· The AAA represents the interests of older persons and the Council gives the AAA advice regarding this obligation.
· Minutes of the Advisory Council meetings shall be accurately recorded, promptly transcribed, and distributed to members only. The minutes will be stored at this AAA. SEIAOA is not a public body. Once a member should be terminated or leave the council, all minutes and information obtained in the meetings shall be destroyed
· Act professionally in working for the best of the AAA and the older adults in the community
· Secure and maintain maximum independence and dignity in the least restrictive setting for older adults capable of self-care with appropriate support services
· Represent the interest of older adults and the programs they need, wish or want, and maintain confidentiality to respect their interests, concerns, or needs
· Members who may also be serving temporarily as providers shall recuse themselves from voting upon matters that directly affect funding (this is especially important during the area plan development and finality) for their sites or anything that could result directly and cause a conflict of interest
· All meetings shall be attended by the Chief Executive Officer or his/her designee
Confidentiality
Due to items that could be personal or names released during a council meeting, it is of the most vital importance to protect any individual (s) mentioned or problems that have surfaced for discussions. Each member will be required to sign a confidentiality form before sitting on the council to protect the participants and this AAA. It is to be renewed each year a person sits in the seat. No Advisory Council member shall serve on the Corporate Board of the Area Agency on Aging or the Board of Directors of a service provider receiving funds from the Area Agency. The mission of the Advisory Council is to advise SEIAOA on all matters relating to the development of the area plan, the administration of the area plan, and operations conducted under the plan. The AAA will make every reasonable effort to prevent any employee, officer, advisory council member, or any member of his/her family, significant other, business partner, or an organization that employs or is about to employ any of said parties who will benefit financially in the procurement of grant and/or contract and the awarding of grant and/or contract funds. Additionally, the Area Agency will make every reasonable effort to prevent financial benefit relative to the Area Agency on Aging procurement of equipment, audits, and other items for said parties.
Quorum: Shall consist of twenty-five percent (25%) of the existing Advisory Council Members. All committees shall be established by the President.
The Advisory Council members will not be members of the Corporation Board of Directors. The final authority for all recommendations made by the Advisory Council shall be the Board of Directors.
Membership Terms: Advisory council members are allowed to serve consecutively as long as they are in good standing.
